About the Role
We're looking for a qualified Company Secretary to manage corporate governance, statutory compliance, and secretarial functions for a fast-growing fintech NBFC. This role suits someone early in their PQE who wants hands-on exposure to NBFC/RBI regulatory compliance alongside core company law work.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), and RBI/NBFC-specific governance norms
- Organize and manage Board Meetings, Committee Meetings, and the Annual General Meeting — agenda, notices, minutes, and resolutions
- Maintain statutory registers, records, and filings (MGT, DIR, PAS forms, etc.)
- File requisite forms and returns with the Registrar of Companies (RoC) and other regulatory bodies within timelines
- Assist in drafting board resolutions, agreements, and corporate governance policies
- Support compliance with RBI's NBFC-specific governance and disclosure requirements
- Liaise with auditors, legal counsel, RoC, and other regulatory authorities
- Assist in due diligence for fundraising, ESOP administration, or corporate restructuring as needed
- Maintain the company's compliance calendar and track regulatory deadlines
Requirements
- Qualified Company Secretary (member of ICSI) with 1–2 years post-qualification experience
- Working knowledge of the Companies Act, SEBI regulations, and RBI/NBFC compliance framework
- Experience in NBFC, fintech, or BFSI sector preferred but not mandatory
- Proficiency in MCA portal filings and secretarial compliance tools
- Strong drafting and documentation skills
- Ability to work independently and manage multiple compliance deadlines

- Exposure to NBFC-specific RBI filings and governance requirements
- Experience supporting fundraising rounds or ESOP schemes in a startup environment
